Going bankrupt is still tough to do
NEW DELHI: First the good news. Starting a company in India has become easier, says the Doing Business, 2007 report, an annual publication of the World Bank and its private sector lending arm, the International Finance Corporation. The process now takes 35 days against 89 days in 2005.
But the bad news remains. India comes last among 175 countries in terms of efficient bankruptcy (closing a business takes 10 years) and is third from the bottom in enforcing a simple commercial contract (56 procedures and four years). Overall, though, India has improved its ranking in ease of doing business, from 138 in 2006 to 134.
What did India do to make starting new businesses easier? The ministry of company affairs’ MCA-21 initiative, for one, which provides a single window for online filing of various forms relating to registration of companies. That apart, notes Rahul Garg, executive director at PricewaterhouseCoopers, some regulatory approvals have been put on the automatic route and various tax-related procedures outsourced.
“The MCA-21 initiative has been a huge change, cutting down registration time and making touts redundant,” commends Anil Bharadwaj, secretary general of the Federation of Indian Small and Medium Enterprises. This was a promise the government had made when the Doing Business in 2006 report kicked off a row over India’s low ranking.
The government kept its promise on this one, but other much-needed reforms are completely stalled.
Closing a business is fraught with problems. Countries where it is easier include Chad, the Czech Republic, Turkey, Ecuador, and Mauritania. A Companies (Amendment) Act for, inter alia, setting up a National Company Law Tribunal (NCLT) to replace the Board for Industrial and Financial Restructuring (BIFR) and speed up the liquidation of companies was passed by Parliament in December, 2002, and received presidential assent in 2003.
Then the Sick Industrial Companies Act (SICA), under which BIFR had been set up was repealed and presidential assent given in 2004. But both these acts have not been notified, because the formation of the NCLT was challenged in court and stays there. So sick companies continue to be referred to the BIFR (which alone can recommend winding up of companies) and cases pile up there.
“This is the only case of a body being kept alive even after the final rites have been done,” rues Kishore Soni, chief executive, Sircons. Or take the issue of reforming the judicial system, which Bharadwaj blames for the trauma of enforcing contracts. When contracts can’t be enforced through courts, firms resort to other means. “There is a cost attached to this and it affects competitiveness,” he contends. Countries that did better than India in enforcing contracts include Sierra Leone, Mozambique, Congo and Chad. The only two countries to do worse were Bangladesh and Timore-Leste.
Garg feels some of the blame lies with the litigation-happy businessmen themselves. “Companies are just not willing to accept arbitration awards and keep appealing,” he rues. The typical life of an income tax dispute case is 15-20 years. Enforcing court awards is even more difficult, with enforcement agencies not being very effective, he points out.
The report identifies reducing tax rates and the administrative hassles that businesses endure when paying taxes as the second most popular reform. The only reform against India’s name is the shift to VAT.
But Vivek Mehra, executive director at PwC, feels this is a step in the right direction but until a national VAT or goods and services tax is introduced, state VAT alone won’t helped integrate the country as a market.
The various state-specific indirect taxes will be a major irritant for a pan-Indian company. There’s also the lack of transparency in tax administration. “The taxman is unfriendly and the tax policy is not business friendly,” he says.
The low ranking of India in Doing Business in 2006 perhaps stung the government into speeding up the MCA-21 Initiative. Industry is hoping the lowest ranking on bankruptcy procedures provoke it to act on this front as well.

Our activities....
HTCPE is a bi-annual event conducted by the Bangalore Chapter of the Institute of Company Secretaries of India (“ICSI”), in association with CS ELITE. This event is held at the Bangalore Chapter premises at a time sufficiently in advance of the June and December sessions of examinations of the ICSI.
At this event, senior members and students of the ICSI render their examination preparation techniques to the participating students. Inspiring guidance is given and useful tips are communicated to the students, enabling them to effectively prepare for their ensuing examinations.
The program concludes with a group discussion, wherein the participating students share their examination experiences with their co-participants.
This event has been well received by the students and the participation at each such event has been overwhelming, encouraging us to explore many more such ideas and programs to facilitate the students in their academic and professional development.
Meet to Know (MTK):
MTK is one of the most successful events conducted by CS ELITE!
MTK is a constant, continuous and a regular meeting of students of any discipline and profession. The time and venue for this event is fixed in advance - it is held every alternate Sunday at 1100 hours at St. Josephs’ Indian High School, Bangalore.
For such meets, a student, elected or volunteered in advance, makes extensive research on a pre-decided topic of professional interest. The outcome of his/her research, results in a thoroughly professional presentation on the topic to the students. The meet is an intense interactive session on the subject in hand.
The discussion includes subjects of academic and professional interest like, Sarbanes-Oxley Act, International Laws, Indian National Budget, SAP, Directors under Companies Act, 1956, Drafting and Conveyancing, Central Excise Act, FEMA, Corporate Governance etc.
The two striking features of this event are the discussion of examination-oriented topics just before the commencement of the examinations and the pre-fixed nature of time and venue for such an event.
Picnic:
CS ELITE conducts a one-day picnic, subsequent to every session of ICSI examination, i.e., twice a year.
The objective behind organizing this fun-filled event lies in our belief that t
here is no better way of making new friends and enhancing interaction amongst the students than spending one whole day together amidst fun and entertainment.
We have visited places in and around Karnataka like Talakkad, Mahakali Durga, etc.
The feedback received from the students for such picnics re-affirms and underlines the importance of conducting such events for the larger benefit of the students.
Picnic is also a reflection of our firm thought that students’ interaction is best promoted at such informal gatherings, which witnesses the making of many new long-lasting friendships. Also, such an event speaks volumes of our approach of having a perfect blend of education and entertainment for the overall development of a student’s professional life.
Cs Elite - A Preface
THE BIRTH OF CS ELITE
February 28, 2003. Lakeview, Mahatma Gandhi Road, Bangalore. Seven students pursuing the profession of company secretaries met together. The students were not familiar with each other, but they met because they had a common PURPOSE - enhancing interaction amongst the students (“Students”) of the Bangalore Chapter of the Institute of Company Secretaries of India (“Chapter”). It was an informal meet with the objective of knowing each other and sharing their common perspective on the subject in hand. The meet lasted for around 120 minutes. The result was the formation of a small students’ group – CS ELITE.
Days passed by, meetings continued, discussions intensified, decisions finalized and the unity within the group strengthened. It was unanimously felt within CS ELITE that constant interaction amongst the Students inter se would fructify only if regular activities are organized for the Students to meet and interact. Keeping this in mind, CS Elite has organized various events like:
(a) Bi-annual Picnic;
(b) Seminar, titled “HOW TO CRACK PROFESSIONAL EXAMINATION”, in association with the Chapter;
(c) A fortnightly discussion meet for the Students, titled – MEET TO KNOW (MTK).
CS Elite was the proud facilitation committee of 2 All-Karnataka Students’ conference – MILAAP 2005 and MILAAP 2006 and 7th All-India Students’ Conference – UDAAN.
A continuous and an easy mode of communication amongst the Students was the life-blood of CS Elite. The result was the commencement of an on-line yahoo group – csoutlook@yahoogroups.com, with a modest database of around 10 Students. Today, the group boasts of a database of around 250 Students. CS ELITE’s email id is cselite@gmail.com.
The youthfulness in CS Elite is alive and justified by continuous induction of new members. Currently, CS Elite has ten members within its fold.
Amongst all the success CS ELITE has had since its inception, the most inspiring of all is its very existence for over 3 years and is still going strong…
