CS Vacancy - Amba Research

This position reports directly to Group Finance Director and is based in Bangalore

Duties

Liaise with company secretaries for ARS, AIS, AHI to ensure that appropriate resolutions are passed, board minutes lodged etc. Ensure that signatures are obtained from shareholders.

Schedule monthly Amba Investment Services board meetings as well as plan, collate information for and coordinate the Company’s annual general meeting.

Prepare option award letters, keep track of options issued

Ensure error free communications with Amba shareholders, particularly in respect of the preparation and circulation of quarterly financial reports

Liaise with company secretary to issue share certificates for both new shares and transfers of shares,

Provide appropriate information to Group staff as requested eg for Bank account openings, new offices, etc.

Ensure that the Group has adequate, cost-effective insurance policies of various descriptions (including but not limited to professional indemnity, D & O and key man)

Source new insurance as required, liaising with Director and Group Legal Counsel.

Keep a track of all group Bank accounts , authorisation metrics etc.

Helps in efficient cash management across the group by controlling all bank accounts and suggest ways of optimising return on the idle cash balances

Provide legal support to Amba Research India operations in coordination with the Group legal counsel

Any other areas assigned by the company from time to time

Skill sets

Ideal candidate should be a CS preferably with a Law degree and should have 6-8 years of work experience in a professional organisation. Person with hands on approach would be a right fit as there is no team management involved.

The Companies Act, 1956 is a masterpiece of legislation regulating operation of companies registered under the Act. Companies are faced with numerous compliance requirements not only under the Companies Act, 1956 but also under a number of other legislations. Due to pressures and complexities in the day-to-day operations there are possibilities for slip ups in the compliance of some of the important provisions of the Companies Act, 1956.
